Key Takeaways

  1. Arizona community property law is statewide, so A.R.S. § 25-211 applies the same in Pima County as anywhere else.
  2. A narrower local buyer pool affects marketability, which is one of the largest single adjustments in a Tucson business valuation.
  3. Professional practices, ranching operations and defence and aerospace suppliers are common here and each is valued on different evidence.

Overview

Owners here often assume the question is whether a Phoenix firm knows Pima County procedure. It is not. Procedure is learnable. The part that decides your case is whether the valuation reflects who would actually buy your business and what they would pay for it in this city.

Is the business community

The Same Community Property Rules Apply

Under A.R.S. § 25-211 property acquired during the marriage is presumed community, which includes a business started or acquired while married regardless of the entity paperwork.

A.R.S. § 25-213 keeps separate a business owned before the marriage or received by gift, devise or descent, along with its rents, issues and profits, subject to community claims where community effort or funds drove the growth.

A.R.S. § 25-318 governs division. Separate property goes back to its owner, the community estate is divided equitably though not necessarily in kind, and marital misconduct plays no part.

A Tucson valuation

Why the Market Matters More Than the Statute

Marketability is the adjustment that moves Tucson numbers most. A business valuation assumes a hypothetical willing buyer, and in a smaller market there are simply fewer of them for many kinds of business. Fewer bidders means a longer sale period and a lower realisable price, and a competent valuation reflects that through a discount for lack of marketability.

A Phoenix comparable set will usually understate that discount, because it is drawn from a market with more buyers. Applied to a Tucson business it produces a number the owner cannot achieve and the other spouse will not concede.

The industry mix compounds it. Professional practices, ranching operations, university-connected enterprises and defence and aerospace suppliers each have their own buyer profile, and some have very few plausible acquirers at all. A practice with two possible local buyers is a different asset from a distribution business anyone could run.

Add to that the concentration risk common in smaller markets. Where a meaningful share of revenue comes from one or two customers, or from a single government contract, valuation multiples fall and the argument about how much they fall is where these cases are actually fought.

The injunction

Trading While the Case Is Pending

Filing triggers an automatic injunction under A.R.S. § 25-315 preventing both spouses from transferring, encumbering, concealing, selling or otherwise disposing of community property, except where related to the usual course of business, the necessities of life, or court fees and reasonable attorney fees.

Day to day trading continues. Payroll, inventory, existing credit lines and ordinary contracts are unaffected, which is the point of the exception.

Structural steps are different. Selling the business, taking new secured borrowing, changing the ownership register or making an unusual distribution require written consent or the permission of the court.

This applies identically in Pima County. The injunction has the force of a superior court order signed by a judge and is enforceable by contempt, binding the petitioner on filing and the respondent on service or actual notice.
